1. General Information and Scope

These General Terms and Conditions of Sale (“T&C”) govern all purchases made through the website formichettihd.com (the “Website”), operated by:

(hereinafter “Dismart”, “we”, or “us”).

By placing an order through the Website, you (“Customer” or “you”) confirm that you have read, understood, and agree to be bound by these T&C in their entirety. If you do not accept these T&C, you must refrain from placing an order.

These T&C apply to all sales of products offered on the Website, including audio equipment (the Casa Blaster® and Il Subtrono product lines) and apparel, whether sold to consumers (B2C) or businesses (B2B). Where a distinction applies, it is clearly stated.

2. Products

2.1 Product Descriptions

We endeavour to describe all products accurately. However, minor variations in colour, texture, finish, or specification may occur due to manufacturing processes, hand-finished treatments, or the characteristics of custom materials. Such variations do not constitute a defect.

Product images on the Website are for illustrative purposes. Each Casa Blaster® unit is hand-finished and may exhibit individual characteristics that distinguish it from images shown.

2.2 Availability

All orders are subject to product availability. In the event that a product you have ordered is unavailable or out of stock after your order has been placed, we will notify you promptly and offer you the choice of: (i) waiting for restocking, (ii) substituting with an equivalent product, or (iii) receiving a full refund.

2.3 Pre-Order Products

Certain products, including Il Subtrono, are offered on a pre-order basis. By placing a pre-order, you acknowledge and agree to the following:

• Estimated delivery timelines are provided in good faith but are not guaranteed. Production delays may occur.
• Payment is collected at the time of order placement, unless otherwise stated on the product page.
• In the unlikely event that a pre-order product is cancelled by Dismart (e.g. due to unforeseen production issues), all payments received will be refunded in full within 14 calendar days.
• Pre-order delivery timelines will be communicated by email and updated on the product page.

3. Order Process and Contract Formation

All product listings on the Website constitute an invitation to purchase and not a binding offer.

We reserve the right to decline any order at our sole discretion, including in cases of suspected fraud, supply constraints, or pricing errors. In such cases, any payment received will be refunded in full.

It is your responsibility to ensure that all information provided at checkout (delivery address, contact details, etc.) is accurate. Dismart accepts no liability for delays or failed deliveries resulting from incorrect information provided by the Customer.

4. Pricing and Payment

4.1 Prices

All prices on the Website are displayed in EUR and include any applicable VAT where required. Prices are subject to change without prior notice; however, the price applicable to your order is the price displayed at the time you place your order.

4.2 Payment Methods

We accept major credit and debit cards (Visa, Mastercard, and others as indicated at checkout), as well as other payment methods displayed at the time of purchase. All transactions are processed securely through third-party payment providers. Dismart does not store full card details.

4.3 Taxes and Import Duties

For deliveries within Switzerland, applicable Swiss VAT is included in the displayed price. For international orders, the displayed price may not include local taxes, customs duties, or import charges levied by the destination country. These costs are the sole responsibility of the Customer. Dismart has no control over and cannot predict the amount of such charges.

5. Shipping and Delivery

5.1 Shipping Areas

We ship worldwide. Some remote regions may have limited availability or extended delivery times. Availability for a specific destination is confirmed at checkout.

5.2 Processing and Delivery Times

Unless a specific delivery date is agreed or displayed on the product page, all orders will be dispatched within 30 days of the order confirmation date, subject to the Casa Blaster® dispatch notice in Section 5.1. If we are unable to dispatch within this period, we will notify you promptly and you will have the right to cancel your order and receive a full refund.

Estimated delivery times vary by destination, carrier, and customs clearance and will be communicated at checkout or in your dispatch notification. They do not constitute a contractual commitment.

Please note that orders placed for the Casa Blaster® product line will be fulfilled as follows:

Casa Blaster® orders placed will be dispatched at the earliest from 15 June 2026 onwards.

By placing an order before this date, you acknowledge and accept that shipment will not occur until on or after 15 June 2026. You will be notified by email with your tracking details as soon as your order is dispatched.

Delivery times are estimates only and do not constitute a contractual commitment. Dismart is not liable for delays caused by carriers, customs authorities, or force majeure events.

5.3 Shipping Costs

Shipping costs are calculated at checkout based on destination and selected method. Free shipping thresholds, if applicable, are displayed on the Website.

5.4 Risk and Title

Risk in the goods passes to you upon delivery to your specified address. Title to the goods passes upon receipt of full payment.

5.5 Tracking and Lost Parcels

Once your order has been dispatched, you will receive a tracking number by email. If a parcel appears lost or significantly delayed, please contact us at shop@formichettihd.com and we will use reasonable endeavours to assist. Tracking and carrier dispute resolution tools are available directly through the carrier’s portal using the tracking number provided.

6. Returns, Right of Withdrawal, and Refunds

6.1 Right of Withdrawal – Consumer Customers

If you are a consumer (i.e. purchasing for personal use, not for business or professional purposes), you have the right to withdraw from your purchase without giving any reason within 14 calendar days of the date on which you, or a third party you designate, takes physical delivery of the goods.

To exercise your right of withdrawal, please notify us before the withdrawal period expires by sending an unambiguous statement to shop@formichettihd.com, including your order number, name, and delivery address.

Following a valid withdrawal:

• You must return the goods to us within 14 calendar days of notifying us of your withdrawal. Return shipping costs are borne by you unless we have agreed otherwise.
• We will reimburse the purchase price of the returned goods within 14 calendar days of receiving the returned goods or evidence of return, whichever is earlier. Reimbursement of standard outbound delivery costs is provided where required by the mandatory consumer protection law of your country of residence.
• We may withhold reimbursement until we have inspected the returned goods or received evidence of return.
• You are liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics, and functioning.

6.2 Exclusions from Right of Withdrawal

The right of withdrawal does not apply to:

• Goods made to your specification or clearly personalised (e.g. custom finish orders).
• Goods that have been used, damaged, or are not in their original packaging.
• Business customers (B2B) – see Section 6.4 below.

6.3 B2B Returns

For business customers, the right of withdrawal described in Section 6.1 does not apply. Returns for business purchases are subject to prior written agreement with Dismart on a case-by-case basis. Statutory rights for defective goods under Swiss law remain unaffected.

7. Warranty

7.1 Manufacturer’s Commercial Warranty

Audio products sold through the Website (Casa Blaster® and Il Subtrono) are manufactured by LSS Engineering. LSS Engineering provides a 24-month commercial warranty from the date of delivery against manufacturing defects under normal use conditions. Dismart SAGL acts exclusively as reseller and distributor of these products and does not itself manufacture, design, engineer, or test them.

The manufacturer’s warranty is provided directly by LSS Engineering and administered through Dismart as facilitator. All warranty obligations are fulfilled by LSS Engineering as manufacturer.

The manufacturer’s warranty does not cover:

• Normal wear and tear
• Damage resulting from misuse, neglect, accidents, or unauthorised modifications
• Damage caused by failure to follow the product’s operating instructions
• Consumable parts unless damaged due to a manufacturing defect

To submit a warranty claim, please contact shop@formichettihd.com with your order number and a description of the issue. Dismart will forward your claim to LSS Engineering, who is solely responsible for fulfilling all warranty obligations. Dismart acts as a communication relay only and assumes no independent warranty liability in this respect.

7.2 Statutory Rights

The 24-month manufacturer’s warranty is a commercial benefit in addition to, and does not replace or limit, your statutory rights as a consumer under applicable law. EU consumer customers retain a minimum 2-year statutory guarantee under Directive 2019/771 independently of this warranty. Apparel items are not covered by the manufacturer’s warranty.

8. Intellectual Property

All content on the Website, including but not limited to the Domenico Formichetti HD brand, product names (including Casa Blaster®), designs, images, text, and trademarks, remains the property of its original licensors. Nothing in these T&C grants you any right to use such intellectual property without our prior written consent.

Unauthorised reproduction, distribution, or commercial exploitation of any content from the Website is strictly prohibited.

9. Limitation of Liability

9.1 Dismart’s role as reseller

Dismart SAGL acts solely as a reseller and distributor of products manufactured by third parties. Dismart has not designed, engineered, manufactured, tested, or certified any audio product sold through the Website. All audio products are manufactured exclusively by LSS Engineering.

9.2 Product liability

All liability for damage, loss, personal injury, death, or property damage arising from a defect in the design, manufacture, materials, or safety of the products rests exclusively with LSS Engineering as manufacturer. Dismart excludes all liability in this respect to the fullest extent permitted by applicable law. Nothing in this Section affects any mandatory product liability rights you may have under Swiss law (PrHG), EU Directive 2024/2853, or the mandatory consumer protection law of your country of residence, which cannot be excluded by contract. Where applicable law prevents Dismart from fully excluding such liability, Dismart’s liability shall be limited to the maximum extent permitted.

9.3 General limitation

To the fullest extent permitted by applicable law:

• Dismart’s total liability to you for any claim arising in connection with an order shall not exceed the total price paid by you for the relevant product(s)
• Dismart shall not be liable for indirect, incidental, or consequential losses, including loss of profits, loss of data, or loss of enjoyment
• Dismart is not liable for damage arising from improper use of products contrary to the instructions provided

Nothing in these T&C excludes or limits liability for fraud, personal injury caused by Dismart’s own negligence, or any other liability that cannot be excluded under mandatory applicable law.

10. Force Majeure

Dismart shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, supply chain disruptions, war, or government restrictions. In such circumstances, Dismart will notify you as soon as practicable and will endeavour to resume performance as quickly as reasonably possible.

11. Governing Law and Jurisdiction

11.1 Governing Law

These T&C and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with Swiss law, excluding its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

Any disputes shall be subject to the exclusive jurisdiction of the courts of the Canton of Ticino, Switzerland.

11.2 Consumer Rights Carve-Out (EU and EEA Customers)

If you are a consumer habitually resident in a Member State of the European Union or the European Economic Area, the choice of Swiss law in Section 11.1 does not deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement under the law of your country of residence. In such cases, you may also bring proceedings in the courts of your country of residence for claims under mandatory consumer protection law, and the mandatory consumer protection provisions of your local law shall apply to the extent they afford you greater protection than Swiss law.

In particular, EU consumer customers retain the following rights regardless of the governing law clause:

• A minimum 2-year statutory guarantee on goods under EU Directive 2019/771 (Sale of Goods Directive).
• A 14-day right of withdrawal under EU Directive 2011/83/EU (Consumer Rights Directive), as described in Section 6.1.
• Access to the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

12. Privacy and Data Protection

The collection and processing of personal data in connection with your use of the Website and purchases made through it is governed by our Privacy Policy, available at formichettihd.com/privacy-policy. By placing an order, you acknowledge that you have read and understood our Privacy Policy.

13. Amendments to These T&C

Dismart reserves the right to amend these T&C at any time. Updated T&C will be published on the Website with a revised version date. Amendments will not affect orders placed before the revised T&C were published. Your continued use of the Website following publication of revised T&C constitutes acceptance of the changes. For the avoidance of doubt, revised T&C apply only to orders placed after the date of publication and do not vary the terms applicable to any prior order.

14. Severability

If any provision of these T&C is found to be invalid or unenforceable by a competent court, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
